HSBC Holdings plc (NYSE: HSBC) has disclosed further progress on its share buy-back programme, revealing purchases of ordinary shares for cancellation conducted on August 17, 2026.
The buy-back, which was announced on August 5, 2026, saw HSBC execute trades across both UK and Hong Kong trading venues through BNP Paribas Financial Markets SNC.
On UK venues, including the London Stock Exchange, Aquis Exchange, Cboe Europe Limited, and Turquoise, HSBC repurchased 850,000 ordinary shares of US$0.50 each on August 17, 2026.
The UK repurchases were transacted at prices ranging from a low of £15.3060 to a high of £15.4300 per share, with a volume-weighted average price of £15.3596.
Simultaneously, HSBC bought 335,200 shares on the Hong Kong Stock Exchange at prices between HK$161.8000 and HK$163.8000, achieving a volume-weighted average price of HK$163.3113.
Since the buy-back commenced on August 5, 2026, HSBC has cumulatively repurchased 9,735,600 ordinary shares for an approximate total consideration of US$201.1 million.
Following the cancellation of shares repurchased on UK venues, HSBC’s issued ordinary share capital and total voting rights now stand at 17,177,053,842, with no ordinary shares held in treasury.
The 335,200 shares purchased on the Hong Kong Stock Exchange on August 17 have not yet been cancelled, as that process takes longer than for UK venue purchases, and HSBC has confirmed a further voting rights announcement will follow.
UK repurchases are classified as “on Exchange” market purchases under the Companies Act 2006, while Hong Kong purchases are “off market” under the same act but constitute an “on-market share buy-back” under Hong Kong’s Codes on Takeovers and Mergers and Share Buy-backs.
The full breakdown of individual trades executed by BNP Paribas on behalf of HSBC is available in accordance with Article 5(1)(b) of the Market Abuse Regulation (EU) No 596/2014, as incorporated into UK domestic law.
The total voting rights figure of 17,177,053,842 may be used by shareholders as the denominator when calculating whether they are required to notify their interest in the company under the Financial Conduct Authority’s Disclosure Guidance and Transparency Rules.
