A December 14 stockholder meeting now stands as the final major hurdle before Trump Media & Technology Group Corp. (NASDAQ: DJT) and TAE Technologies complete their planned all-stock combination.

Under the terms struck in December 2025, shareholders on both sides of the deal are each projected to hold roughly 50% of the merged entity on a fully diluted basis once the transaction closes.

The path to that vote cleared significantly after the U.S. Securities and Exchange Commission declared TMTG’s Form S-4 registration statement effective on November 5, 2026, prompting the simultaneous filing of a definitive proxy statement and prospectus.

TMTG planned to begin distributing the proxy materials to eligible stockholders on or around November 6, 2026, with those on the record as of November 2, 2026 entitled to cast ballots.

TAE, for its part, will pursue approval from its own stockholders through a written consent process rather than a formal meeting.

Both companies are targeting a year-end close, contingent on shareholder approvals and the satisfaction of other standard closing conditions.

Interim TMTG Chief Executive Kevin McGurn signaled confidence in the timeline, stating: “We’ve worked tirelessly with our colleagues at TAE to reach this milestone. With the Registration Statement on Form S-4 now effective, we’re looking forward to bringing this merger to a shareholder vote and expect to close by the end of the year.”

What makes the deal unusual is the breadth of TAE’s technology portfolio, which spans commercial fusion development, AI-focused power management hardware under its TAE PowerFabric product line, and a life sciences division advancing boron neutron capture therapy for cancer treatment.

TAE Chief Executive and Chief Technology Officer Michl Binderbauer framed the merger as a commercial inflection point for a company that has been pursuing fusion for nearly 30 years, saying: “For nearly three decades, our pursuit of fusion has produced advances in science and engineering that we are now bringing to market. This merger supports the next phase of that work, as we advance commercial fusion and apply the technologies developed along the way across power management and cancer therapy.”

Founded in 1998 and headquartered in Houston, TAE Technologies operates across three distinct units, giving the combined company exposure to energy transition, artificial intelligence infrastructure, and medical technology in a single transaction.

TMTG, based in Sarasota, Florida, operates the Truth Social platform alongside the Truth+ streaming service and its Truth.Fi financial technology brand, making the pairing one of the more eclectic corporate combinations to reach the proxy stage in recent memory.

Investors seeking to review the full risk factors and terms of the proposed merger can access the definitive proxy statement at no cost through the SEC’s website or via TMTG’s investor relations page at ir.tmtgcorp.com.
