Trump Media & Technology Group Corp. (NASDAQ: DJT) and TAE Technologies, Inc. have filed a Form S-4 registration statement with the U.S. Securities and Exchange Commission in connection with their proposed all-stock merger.

The two companies originally entered into an Agreement and Plan of Merger on December 18, 2025, outlining a business combination that would give shareholders of each company approximately 50% of the combined enterprise on a fully diluted basis.

If completed, the merged entity would stand as one of the world’s first publicly traded companies actively developing commercial fusion energy technology for the broader marketplace.

TAE Technologies, founded in 1998 and based in Foothill Ranch, California, has spent nearly three decades developing advanced technologies across fusion energy, power management, and cancer therapy applications.

The company operates three distinct but synergistic business units: Fusion, Power Solutions, and Life Sciences, each targeting large and growing commercial markets tied to its core fusion research.

TMTG’s Kevin McGurn, Interim Chief Executive Officer, said “with TAE, we see a differentiated, balanced risk profile with attractive growth opportunities,” adding that the filing represents “a key step toward closing this merger and providing capital to fund TAE’s development of commercial fusion power.”

TAE Chief Executive Officer and Chief Technology Officer Michl Binderbauer noted that “TMTG has been a strong supporter in our effort to commercialize our technologies,” describing three decades of pursuing “the most challenging scientific and engineering problems known to humankind.”

The combination is designed to pair TMTG’s existing balance sheet strength with TAE’s portfolio of applied research assets and proprietary technologies developed over nearly 30 years of scientific work.

TAE’s Power Solutions business unit applies fusion-derived power control technology to challenges created by highly dynamic artificial intelligence compute loads through its flagship TAE PowerFabric product offering.

TAE’s Life Sciences unit leverages proprietary fusion-derived particle accelerator technology to advance radiation therapy, specifically targeting difficult-to-treat cancers through biologically-targeted boron neutron capture therapy.

The Registration Statement has not yet been declared effective by the SEC, meaning securities to be issued in connection with the merger cannot yet be sold or offered to prospective buyers.

TMTG operates Truth Social, the Truth+ streaming platform, and Truth.Fi, a financial services brand, with a stated mission of countering what it describes as Big Tech’s suppression of free expression online.
