IonQ (NYSE: IONQ) has announced a definitive agreement to acquire Zero Trust security company Elisity, Inc. in an all-stock transaction valued at up to $1.3 billion.

The deal combines IonQ’s post-quantum cryptography and quantum key distribution capabilities with Elisity’s enterprise Zero Trust technology to expand its cybersecurity platform.

The acquisition is designed to help uncover and protect against current large language model threats and emerging quantum security vulnerabilities facing enterprise and government networks.

Elisity brings a strong commercial track record to the table, having doubled its revenues and customer base year over year while maintaining zero churn among deployed customers.

IonQ will gain access to more than 100 global customer deployments and deep relationships across the CISO and security communities through the Elisity network.

The deal also opens an entry point into the microsegmentation market, which represents an opportunity exceeding $10 billion with a double-digit compound annual growth rate.

IonQ’s chairman and CEO has stated the acquisition will enhance the company’s ability to secure critical infrastructure and enterprise networks throughout the transition to the quantum era, noting that Q-Day may arrive sooner than expected.

IonQ’s multiproduct revenues grew 40% year over year in the second quarter of 2026, reflecting increasing adoption of its quantum and security offerings across multiple customer segments.

The agreement includes up to $150 million in earnout opportunity subject to the performance of the Elisity business following the close of the transaction.

The number of shares IonQ will issue is based on its volume-weighted average stock price over the 20 trading days preceding the third business day before closing, with a price cap of $49.61 per share and a floor of $33.07.
