LivePerson (NASDAQ: LPSN) is pressing stockholders to cast affirmative votes in support of its proposed acquisition by SoundHound AI (NASDAQ: SOUN) ahead of a critical August 20 special meeting.
The company hosted an investor town hall and Q&A webcast on August 5, 2026, at 8:00 a.m. ET to outline the strategic and financial rationale behind the deal.
CEO John Sabino led the town hall discussion, covering the value and potential future upside stockholders stand to receive through the transaction.
Sabino also addressed the board’s comprehensive process in reaching the agreement, as well as the negotiated resolution with the company’s debtholders.
The town hall further examined the consequences stockholders could face if the merger proposal fails to receive the required votes.
“We want to ensure every investor understands what is at stake and why casting a ‘FOR’ vote right now is imperative to securing the value of your shares,” said Sabino.
“I encourage all stockholders to submit questions and join the town hall tomorrow, and to vote to support the transaction today,” Sabino added, stressing that every single vote matters.
Sabino was direct in warning that failing to vote carries the same practical consequence as voting against the deal, a risk the company is clearly eager to avoid.
Approval of the merger requires the affirmative vote of a majority of all outstanding shares of LivePerson common stock, setting a high bar for the transaction to proceed.
