MDA Space Ltd. (TSX: MDA) has agreed to acquire Colorado-based Blue Canyon Technologies Inc. for $874 million in an all-cash transaction aimed at securing American defense and civil space contracts.
The Brampton, Ontario-based satellite maker is purchasing Blue Canyon from Virginia-based defense and aerospace giant RTX Corp., formerly known as Raytheon Technologies Corp.
The deal is expected to close by year-end, giving MDA a direct operational foothold inside the United States for the first time.
MDA chief executive Mike Greenley said the acquisition will strengthen the company’s ability to compete for U.S. contracts, with new defense and civil space opportunities expected to materialize over the next 24 months.
Blue Canyon Technologies holds U.S. security clearance, which will allow MDA to bid on classified work involving “satellite opportunities across the full spectrum of the defence sector,” Greenley said.
Once completed, MDA will have a U.S. subsidiary with “substantial local operations and established capabilities,” Greenley said, anchored by Blue Canyon’s two manufacturing facilities in Colorado.
Blue Canyon employs more than 400 people across those Colorado facilities, giving MDA an immediate and significant American manufacturing and workforce presence.
The acquisition will also expand MDA’s global pipeline of opportunities to nearly $45 billion, up from $40 billion, reflecting the scale of the strategic value attached to the deal.
MDA already supplies the five largest U.S. defense contractors with satellite and space equipment manufactured at its Montreal factory, but its lack of an American manufacturing footprint has limited its ability to compete directly for U.S. government contracts.
BMO Capital Markets Corp. analyst Thanos Moschopoulos noted that while MDA has won some U.S. government contracts through established capabilities in areas such as satellite antennas, a Canadian company manufacturing out of Canada faces a high bar when competing for American work.
Moschopoulos and other analysts described the acquisition as a positive move that will significantly expand MDA’s access to U.S. government and defense contracting opportunities going forward.
The deal represents a major step in MDA’s broader global expansion strategy, as the company continues to pursue growth across sovereign-dominated defense and aerospace industries worldwide.
